These Terms of Use ("Terms") are an agreement between You and Sakhi Safety AI Technologies (OPC) Private Limited ("Sakhi", "the Company", "we", "us", or "our(s)" as the context requires) governing Your access to and use of Sakhi's preventive personal safety products, software and services with the characteristics and features described on www.helpsakhi.com ("Website") and any related mobile or software applications, including the Sakhi mobile application ("App"), and any wearable safety device sold by Sakhi (the "Sakhi Wearable Device" or "Device") (the Website, App, Device and related online tools, services and features referred to collectively as the "Platform"). The Platform is owned and operated by Sakhi Safety AI Technologies (OPC) Private Limited, a one-person private limited company incorporated under the Companies Act, 2013, having its registered office at SCF 60, Phase 2, Chandigarh Sector 55, S.A.S. Nagar (Mohali), Rupnagar 160055, Punjab, India.
As used herein, "You" and "Your(s)" refers to any individual who accesses or otherwise uses the Platform. Your use of the Platform is also subject to our Privacy Policy, which covers how we collect, use, share, and store Your personal information, as well as any additional policies and terms provided by us to You from time to time.
The Platform is intended for users located in India. It is not directed at, or designed for, users outside India, and the Services may not be available, supported or lawful in jurisdictions other than India. If You access the Platform from outside India, You do so on Your own initiative and are responsible for compliance with applicable local laws.
Your consent
PLEASE REVIEW THESE TERMS CAREFULLY. BY ACCESSING OR USING THE PLATFORM, YOU ARE AGREEING TO COMPLY WITH AND BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE PLATFORM.
Safety disclaimer and release
THE SAKHI PLATFORM IS A PREVENTIVE PERSONAL SAFETY TOOL INTENDED TO SUPPORT YOUR AWARENESS, ALERT AND RESPONSE CAPABILITIES IN SITUATIONS WHERE YOU MAY FEEL UNSAFE. IT IS INTENDED FOR YOUR PERSONAL USE AND IS NOT A SUBSTITUTE FOR, AND DOES NOT REPLACE, THE POLICE, AMBULANCE, FIRE BRIGADE OR ANY OTHER OFFICIAL EMERGENCY RESPONSE SERVICE.
IN AN EMERGENCY, OR IF YOU BELIEVE YOU ARE IN IMMEDIATE DANGER, YOU MUST CONTACT 112 (OR YOUR LOCAL EMERGENCY NUMBER) DIRECTLY AND IMMEDIATELY. THE PLATFORM IS DESIGNED TO HELP YOU RAISE AN ALERT, SHARE YOUR LOCATION WITH PEOPLE YOU TRUST AND, ON A VERIFIED TRIGGER, ROUTE AN ALERT TOWARDS EMERGENCY SERVICES. IT DOES NOT BY ITSELF PROVIDE RESCUE, LAW-ENFORCEMENT, MEDICAL OR ANY OTHER EMERGENCY SERVICE.
SAFETY IS A SERIOUS MATTER. PRESSING THE SOS BUTTON ENGAGES OTHER PEOPLE, INCLUDING YOUR PROTECTORS, FELLOW SAKHI USERS IN YOUR VICINITY, AND LAW ENFORCEMENT. YOU MUST PRESS SOS RESPONSIBLY AND ONLY WHEN YOU HAVE A GENUINE SAFETY CONCERN. TRIGGERING AN SOS AS A PRANK, A TEST ON LIVE MODE, OR IN ANY OTHER MANNER THAT MISLEADS A PROTECTOR, THE SAKHI COMMUNITY OR ANY EMERGENCY SERVICE IS A MISUSE OF THE PLATFORM, MAY WASTE EMERGENCY RESOURCES, MAY PUT OTHER PEOPLE AT RISK, AND MAY EXPOSE YOU TO LEGAL CONSEQUENCES UNDER APPLICABLE LAW.
YOU ACKNOWLEDGE THAT THE OPERATION OF THE PLATFORM DEPENDS ON FACTORS OUTSIDE OUR CONTROL, INCLUDING MOBILE NETWORK COVERAGE AND SIGNAL STRENGTH, GPS ACCURACY AND AVAILABILITY, YOUR DEVICE'S BATTERY AND POWER-SAVING SETTINGS, INTERNET CONNECTIVITY, DEVICE PERMISSIONS BEING CORRECTLY GRANTED AND KEPT ENABLED, BLUETOOTH CONNECTIVITY, THE CORRECT FUNCTIONING AND PAIRING OF THE SAKHI WEARABLE DEVICE, THE OPERATING SYSTEM'S HANDLING OF BACKGROUND APPLICATIONS AND NOTIFICATIONS, AND THE AVAILABILITY OF THIRD-PARTY SERVICES SUCH AS SMS, MAPPING AND CLOUD PROVIDERS. BECAUSE OF THESE FACTORS, ALERTS MAY BE DELAYED, MAY NOT BE DELIVERED, LOCATION MAY BE INACCURATE, AND FEATURES MAY BE TEMPORARILY OR WHOLLY UNAVAILABLE.
YOU FURTHER ACKNOWLEDGE THAT THE BEHAVIOUR OF SAFETY FEATURES CAN DIFFER BETWEEN ANDROID AND APPLE IOS DEVICES BECAUSE OF RESTRICTIONS IMPOSED BY EACH OPERATING SYSTEM. ON CERTAIN IOS DEVICES AND CONFIGURATIONS, COMPLETING AN EMERGENCY SMS OR CALL MAY REQUIRE AN ADDITIONAL MANUAL CONFIRMATION STEP BY YOU AND CANNOT BE FULLY AUTOMATED.
YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE PLATFORM, INCLUDING ANY RELIANCE ON ALERTS, LOCATION-SHARING OR AI-ASSISTED FEATURES, AND YOU HEREBY RELEASE SAKHI AND ALL OF ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND OTHER PARTIES INVOLVED IN THE CREATION, MAINTENANCE AND DISTRIBUTION OF THE PLATFORM FROM ANY AND ALL LIABILITY ARISING AS A RESULT OF YOUR USE OF THE PLATFORM, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR OTHER DAMAGES OF ANY KIND, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
THE SAKHI WEARABLE DEVICE AND ITS ASSOCIATED APPLICATION ARE PREVENTIVE PERSONAL SAFETY TOOLS. THEY ARE NOT SURVEILLANCE DEVICES, MEDICAL DEVICES OR LAW-ENFORCEMENT EQUIPMENT, AND MUST NOT BE USED FOR ANY SUCH PURPOSE. ANY INFORMATION, TIPS OR AWARENESS MATERIAL PROVIDED THROUGH THE PLATFORM IS FOR GENERAL AWARENESS ONLY AND DOES NOT CONSTITUTE LEGAL, MEDICAL, PSYCHOLOGICAL OR OTHER PROFESSIONAL ADVICE.
Your use of the Platform
The Sakhi Website is open to anyone who visits it. The Sakhi App and the safety Services (including SOS, location-sharing with Protectors, the Sakhi Response Hub and any personalised safety insights) require You to create a user account ("User Account") and sign in. These Terms apply to all use of the Platform, whether or not You have created a User Account.
In these Terms, references to the "Services" include all features made available through the App and the User Account, whether free or paid.
Your representations and warranties
When You access the Platform, You hereby represent and warrant that:
- You are at least 18 (eighteen) years of age and have reached the age of majority under the laws of India;
- You are capable of entering into and performing legally binding contracts under the Indian Contract Act, 1872;
- All information which You provide is accurate, up to date, truthful and complete; and
- Your use of the Platform shall at all times be strictly in accordance with applicable laws.
The Platform is not intended for, and may not be used by, persons below 18 years of age. We do not knowingly collect personal data from individuals below 18 years of age. If we become aware that we have collected personal data from a person below 18 without the verifiable consent of a parent or lawful guardian, we will delete such data in accordance with the Digital Personal Data Protection Act, 2023.
If You are accessing the Platform on behalf of another individual or a legal entity, You further represent and warrant that You have the full right, legal power and actual authority to bind such individual or entity to these Terms.
Restrictions on use
You further represent, warrant and assure that You shall not engage in any activity, host, display, upload, modify, publish, transmit, store, update or share any information or content that:
- Belongs to another person and to which You do not have any right;
- Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;
- Is harmful to children;
- Infringes any patent, trademark, copyright or other proprietary right;
- Violates any law for the time being in force, including the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, or the Digital Personal Data Protection Act, 2023;
- Deceives or misleads the addressee about the origin of the message, or knowingly and intentionally communicates any information that is patently false or misleading in nature but may reasonably be perceived as a fact;
- Impersonates another person or entity, or falsely states or misrepresents Your affiliation with a person or entity;
- Accesses or uses the account of another user without permission;
- Threatens or compromises the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents the investigation of any offence;
- Contains a software virus, trojan, spyware or any other computer code, file or program that is malicious or designed to interrupt, destroy or limit the functionality of any computer resource;
- Attempts to gain unauthorised access to the Platform, the server on which the Platform is stored, or any server, computer or database connected to the Platform;
- Violates our policies or guidelines as updated from time to time;
- Constitutes a form of deceptive advertising; or
- Asserts or implies that Your content is in any way sponsored or endorsed by us, when it is not.
You further agree that You shall not use the Platform to track, monitor, stalk, harass, surveil or locate any other person without that person's knowledge and consent, and shall not trigger false, malicious or test SOS alerts in any manner that could waste emergency resources or alarm others.
You also acknowledge and agree that any safety insights, risk indicators, area-level risk scores, route guidance, or other intelligence generated by the Platform (collectively, "Safety Intelligence") is provided for Your personal, non-commercial use only. You shall not copy, scrape, extract, re-sell, redistribute, publish, share with any third party, or make available to any other application or service any Safety Intelligence, in whole or in part. Safety Intelligence is proprietary to Sakhi and is not intended for further distribution.
Your User Account
To establish a User Account, You may be required to provide Sakhi with certain personal information, including without limitation Your first and last name, e-mail address and mobile number, that may be used to identify You as an authorised user of the Services. You agree to supply accurate information when requested and to update that information promptly if it changes. Sakhi reserves all rights to pursue legal action against persons who misrepresent personal information or who are otherwise untruthful about their identity, and to suspend or cancel User Accounts registered with inaccurate or incomplete information.
Login information
During the registration process, or in connection with certain features or products available through the Services, You may be required to select credentials, including but not limited to a username, password and/or one-time passwords delivered to Your registered mobile number or email (collectively, "Login Information"). It is important that You keep Your Login Information confidential. You may not share or transfer Your User Account or Login Information with anyone other than as expressly set forth in these Terms. You are responsible for protecting the confidentiality of Your Login Information and for all use of Your User Account accessed with it, including purchases, whether or not authorised by You. Any unauthorised access, use, distribution or transfer of Your User Account or Login Information may result in suspension, termination or cancellation of Your User Account and Your access to and use of the Services.
Security of Your User Account and Login Information
If You suspect that someone else has access to Your User Account, Your phone or Your Sakhi Wearable Device without Your permission, that is treated as a "breach of security" under these Terms. This includes, for example, situations where:
- Your phone has been lost or stolen while You were signed in to the Sakhi App;
- Your password or login credentials have been shared with another person, guessed, or have otherwise come into someone else's hands;
- Your registered mobile number has been swapped or ported without Your authorisation;
- Someone has used Your unlocked phone or Sakhi Wearable Device without Your permission;
- You notice activity on Your User Account that You did not initiate, such as logins from an unfamiliar device or location, changes to Your Protector list, or alerts You did not trigger.
If a breach of security occurs or You suspect one, You agree to:
- Notify Sakhi immediately at support@helpsakhi.com, from a device You trust;
- Change Your password and secure Your device, where You are safely able to do so;
- Inform Your Protectors directly, so that they are aware that any recent alerts may not have been genuine;
- Where applicable, contact Your bank and Your mobile network operator (for example, in cases of SIM-swap or financial misuse), and consider filing a report with Your local police or at cybercrime.gov.in.
Once We are notified, We will take reasonable steps to protect Your User Account, which may include:
- Signing You out of all active sessions and temporarily locking Your User Account;
- Resetting Your Login Information, which may require You to verify Your identity and provide new credentials;
- Suspending SOS, location-sharing and other safety functions on Your User Account until Your access is verified, so that they cannot be misused against You or against the Sakhi community;
- Reviewing recent activity on Your User Account and sharing relevant information with You;
- Where We have reasonable grounds to believe that recent alerts may not have been genuine, notifying Your Protectors of that fact.
You remain responsible for activity that takes place on Your User Account before You notify Us of a suspected breach of security. After notification, We will act in accordance with this section and applicable law. If a suspected breach involves a personal data breach that is notifiable under the Digital Personal Data Protection Act, 2023, We will also notify You and the Data Protection Board of India as required.
In accordance with our Privacy Policy, We have implemented technical, administrative and physical security measures to help safeguard Your personal information and prevent unauthorised access to, use of or disclosure of that information. However, no system is completely secure: transmissions made over the Internet, and information stored on Our servers or those of third-party providers, may be vulnerable to attack. To the maximum extent permitted by law, Sakhi disclaims liability for security incidents, unauthorised access to or disclosure of Your personal information, or any unavailability, delay or failure of the Services arising from causes outside Our reasonable control. Nothing in this section excludes any right or remedy You have under mandatory provisions of applicable law.
Protectors and trusted contacts
A core feature of the Platform is the ability to add trusted contacts ("Protectors") who may receive alerts on Your instruction. You acknowledge and agree that:
- You are solely responsible for selecting Your Protectors and for keeping Your Protector list accurate and current;
- Before You add any person as a Protector, You should let them know that they will receive safety alerts from the Platform on their mobile number, so that they are aware and willing to respond if an alert is sent;
- Sakhi is not responsible for the actions or inactions of any Protector, including if a Protector does not receive, does not see, or fails to act upon an alert;
- Either party may end the Protector relationship at any time: You can remove a Protector from Your Protector list within the App, and any person who has been added as Your Protector can remove themselves as Your Protector from their own Sakhi account or by contacting support@helpsakhi.com.
SOS alerts and the Sakhi Response Hub
The Platform offers two SOS trigger behaviours:
Single press: Protector alert
When You trigger a single-press SOS, Your Protectors are alerted via SMS and via an in-App notification, sharing Your location and the time of the alert. No other party is notified on a single press.
Double press: escalated SOS
When You trigger a double-press SOS, the following sequence is initiated:
- Your Protectors are alerted immediately via SMS and an in-App notification. Your Protectors receive Your location at the time of the alert and, for the next 24 (twenty-four) hours, continuous location updates so that they can locate and assist You.
- The alert is simultaneously routed to the Sakhi Response Hub, where an automated verification system confirms whether the SOS was initiated by You before any further escalation occurs.
- Once the SOS is verified, an alert is sent to the police via SMS and, where supported, an automated voice call is also placed to the police. Other Sakhi users in Your immediate vicinity ("Nearby Sakhi Users") are alerted via SMS and in-App notification so that they may offer help if it is safe for them to do so.
Verification by the Sakhi Response Hub is automated and is carried out on a best-effort basis. Sakhi does not guarantee that verification or escalation will occur within any specific time, or at all. The Sakhi Response Hub does not itself provide rescue, medical or law-enforcement services. Nearby Sakhi Users are private individuals; they are not Sakhi employees, security personnel or emergency responders, and they have no obligation to respond.
By using the double-press SOS feature, You consent to Sakhi sharing Your continuous location with Your Protectors for the 24 (twenty-four) hour period following the alert, and to Sakhi sharing Your location with the police and Nearby Sakhi Users on verification of the alert, in each case for the purpose of facilitating Your safety. Continuous location sharing automatically ends 24 (twenty-four) hours after the alert or earlier if You stop the alert from within the App.
Audible siren
When You trigger an SOS, whether by pressing the SOS button on Your Sakhi Wearable Device or from within the Sakhi App, an audible siren is sounded on Your Protectors' phones through the Sakhi App, so that they are alerted clearly and promptly, even if their phone is on silent or set aside. A Protector may acknowledge or silence the siren from within the App.
Responsible use of SOS
You agree that You shall not trigger an SOS alert in the absence of a genuine safety concern, and shall not use the SOS feature for testing on the live system in a manner that could mislead a Protector, the Sakhi Response Hub, the police, Nearby Sakhi Users or any emergency service. Where the Platform offers a dedicated test mode, You should use that mode for any practice or familiarisation. Misuse of the SOS feature may result in suspension or termination of Your access to the Platform and may attract legal consequences under applicable law, including the Bharatiya Nyaya Sanhita, 2023.
Safety insights and risk indicators
The Platform may show You safety insights, area-level risk indicators and route suggestions ("Safety Intelligence"). Safety Intelligence is indicative only and is provided as general guidance to support Your own judgement. You should not rely on Safety Intelligence as the sole basis for any decision affecting Your safety or that of others.
Ownership of Platform and Content
All rights, title and interest in and to the Platform, including all software and code that comprises and operates the Platform, and all text, photographs, images, illustrations, graphics, audio, video and audio-video clips, designs and other materials provided through the Platform (collectively, "Content"), are owned by, or licensed to, Sakhi. The Platform is protected under trademark, service mark, trade dress, copyright, patent, trade secret and other intellectual property laws. In addition, the entire Content of the Platform is, and shall be deemed to be, owned by Sakhi, including the copyright in the selection, coordination, arrangement and enhancement of the Content.
We grant You a limited, revocable, non-transferable, non-exclusive and non-sublicensable right to access and view the Content on the Platform, solely for Your own personal, non-commercial use of the Services, and only in the manner that the Platform makes the Content available to You. This right does not include any right to download, copy, save, store, reproduce, modify, adapt, translate, distribute, publicly display, publicly perform, broadcast, transmit, sell, license, sublicense, mirror, frame, scrape, data-mine, train any machine-learning or artificial-intelligence model on, or otherwise exploit, the Platform or any portion of the Content, the Services, the Safety Intelligence, or the underlying software, models, datasets, code or design. Any use of automated systems (including bots, spiders, crawlers, scrapers or AI agents) to access, copy or extract any part of the Platform or the Content is strictly prohibited. This right is revocable at any time without notice and with or without cause. Nothing in these Terms shall be construed as transferring any right, title or interest in the Platform or its Content to You or anyone else, except the limited right of access expressly set forth herein.
Third-party content
Some of the information available through the Platform, such as safety articles, helpline directories, awareness material, or content provided by partner non-profits, researchers or expert contributors, may be authored or supplied by third parties. Wherever practical, the source of such third-party material is identified. We include third-party material for Your interest and convenience only. Sakhi does not endorse the views of third-party contributors, and we do not warrant or represent that such material is current, accurate, complete or reliable. You should verify important information independently before relying on it.
Trademarks
The trademarks, service marks and logos used or displayed on the Platform ("Trademarks") are registered and unregistered trademarks of Sakhi, its affiliates or third parties. You may not use any Trademarks displayed on the Platform without the prior express written permission of Sakhi or the trademark owner.
Links to third-party services and websites
The Platform connects to or links out to a number of third-party services and websites, for example, the Razorpay payment gateway, mobile app stores (Google Play and Apple App Store), SMS and communications providers, mapping and location-service providers, government emergency services such as 112, helpline directories, partner non-profit pages, and Sakhi's own pages on social-media platforms such as Instagram and LinkedIn.
We do not control, and are not responsible for evaluating, the products, services, content, availability or policies of these third parties. The inclusion of a link or integration with a third-party service does not imply our endorsement of that service, and Your use of it is governed by that third party's own terms and privacy policy, which You should review before using the service. We are not responsible for any loss arising from Your use of a third-party service.
Disclaimers
You acknowledge that the information on the Platform is provided "as is" and for general information only. You should not rely on this information as a substitute for, nor does it replace, professional advice from the appropriate authorities or professionals. If You have any concern or question about Your safety, You should always consult law enforcement and other appropriate professionals or authorities. Do not disregard, avoid or delay obtaining safety, legal or medical advice from the appropriate professional because of something You may have read on the Platform. The use of any information provided on the Platform is solely at Your own risk.
YOU MUST NEVER DISREGARD PROFESSIONAL ADVICE OR DELAY SEEKING EMERGENCY ASSISTANCE AS A RESULT OF ANY INFORMATION YOU HAVE SEEN ON OR ACCESSED THROUGH THE PLATFORM. IF YOU BELIEVE YOU ARE IN IMMEDIATE DANGER, YOU SHOULD SEEK EMERGENCY ASSISTANCE BY CALLING 112 OR YOUR LOCAL EMERGENCY NUMBER WITHOUT DELAY.
YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL DAMAGES, INJURIES OR LOSSES THAT YOU MAY SUSTAIN OR INCUR, IF ANY, WHILE USING THE PLATFORM OR THE SAKHI WEARABLE DEVICE. YOU HEREBY WAIVE ALL CLAIMS AGAINST SAKHI, ITS DIRECTORS, OFFICERS, EMPLOYEES AND REPRESENTATIVES FOR ANY AND ALL CLAIMS FOR INJURIES OR DAMAGES THAT YOU MIGHT SUSTAIN, EXCEPT TO THE EXTENT SUCH WAIVER IS NOT PERMITTED BY APPLICABLE LAW.
Disclaimer of warranties
In plain terms, this section says that You use the Platform at Your own risk and that, except where the law says otherwise, we do not give legal promises about how the Platform will work.
Specifically, and to the fullest extent permitted by law, Sakhi, its affiliates, and their respective directors, officers, employees, agents, licensors and service providers do not promise or warrant that:
- The Platform is suitable for any particular purpose, or that it is fit, of merchantable quality, or non-infringing;
- Any Content, Service or Safety Intelligence is accurate, complete, current, relevant or reliable;
- The Platform will be available without interruption, on time, error-free, or secure;
- Alerts will always be delivered, that location data will be accurate at all times, or that the Sakhi Wearable Device will function in every situation;
- The Platform will be free of viruses, malware or other harmful code introduced by third parties;
- Our servers or systems will not be subject to unauthorised access, errors or omissions.
The Platform is provided on an "as is" and "as available" basis. You are responsible for using Your own judgement when relying on anything the Platform tells You. Nothing in this section excludes or limits any right or remedy You have under mandatory provisions of Indian consumer law, including the Consumer Protection Act, 2019.
Limitation of liability
UNDER NO CIRCUMSTANCES SHALL SAKHI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSSES OR DAMAGES, INCLUDING LOSS OF PROFITS, REVENUES, SAVINGS, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH (A) THE USE OF, OR INABILITY TO USE, THE PLATFORM, CONTENT, PRODUCTS AND SERVICES MADE AVAILABLE THROUGH THE PLATFORM; (B) THE ACTIONS OR INACTIONS OF ANY PROTECTOR OR OTHER THIRD PARTY; (C) THE DELIVERY, NON-DELIVERY, TIMING OR CONTENT OF ANY ALERT; (D) THE ACCURACY OF ANY LOCATION DATA; (E) ANY COURSE OF DEALING OR COURSE OF PERFORMANCE; (F) RELIANCE BY YOU ON THE ACCURACY, COMPLETENESS, CURRENCY, RELEVANCE OR RELIABILITY OF THE CONTENT AND SERVICES; (G) INTERRUPTIONS, ERRORS OR UNAVAILABILITY OF THE PLATFORM; (H) ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES THROUGH THE ACTIONS OF ANY THIRD PARTY; OR (I) ANY UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, AND/OR ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.
EACH OF THE FOREGOING LIMITATIONS OF LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, NEGLIGENCE OR OTHER TORT, STRICT LIABILITY OR ANY OTHER BASIS; EVEN IF AN AUTHORISED REPRESENTATIVE OF SAKHI OR ONE OF ITS AFFILIATES, LICENSORS OR SERVICE PROVIDERS HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES; AND WITHOUT REGARD TO THE SUCCESS OR EFFECTIVENESS OF OTHER REMEDIES.
IN NO EVENT SHALL SAKHI'S AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT ACTUALLY RECEIVED BY SAKHI FROM YOU FOR THE PRODUCT, SERVICE OR SUBSCRIPTION GIVING RISE TO THE CLAIM UNDER THE APPLICABLE ORDER, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
Nothing in these Terms excludes or limits any liability that cannot, under applicable law, be excluded or limited, including liability under mandatory provisions of the Consumer Protection Act, 2019 or for death or personal injury caused by our negligence.
Indemnity
You agree to defend, indemnify and hold harmless Sakhi, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorneys' fees) arising from: (i) Your use of and access to the Content, Services and Platform; (ii) Your violation of any of these Terms; (iii) Your violation of any third-party right, including without limitation any copyright, property or privacy right (including a Protector's privacy rights); or (iv) any claim that content submitted by You caused damage to a third party. This defence and indemnification obligation will survive these Terms and Your use of the Services and Platform.
Subscription terms
Certain Services may be made available through subscription plans ("Subscriptions") on a recurring basis. Unless stated otherwise at the time of purchase, Subscriptions renew automatically at the end of each billing period, and the applicable fee is charged to Your selected payment method, until You cancel.
You may cancel Your Subscription at any time through the App or by contacting support@helpsakhi.com. Cancellation stops future renewals. On cancellation, You will be issued a pro-rata refund for the unused portion of Your current billing period, calculated from the date Your cancellation request is received and processed. If a Sakhi Wearable Device is sold bundled with an introductory period of App access, that period forms part of the Device purchase and is not separately refundable.
Pricing
We strive to provide accurate product and pricing information; however, errors may occur. We cannot confirm the price of a product or service until You make the order. If a product or service is listed at an incorrect price or with incorrect information due to any technical error, we shall have the right, at our sole discretion, to refuse or cancel any order placed for that product or service, unless the product has already been delivered or the service has already been availed by You. In the event that an item is wrongly priced, we may, at our discretion, either contact You for instructions or cancel Your order and notify You of such cancellation. In the event we are unable to deliver the product to You on time or at all, You will be notified by e-mail and Your order may be automatically cancelled due to unavailability of the product, or at Your instructions due to failure to deliver the product within the expected delivery time. We shall not be liable to pay any damages in such an event owing to the cancellation of the order or the delay in delivery.
In the event we accept Your order, the same shall be debited to Your credit card, debit card or other selected payment instrument, and notified to You by email that the payment has been processed. Payment may be processed prior to dispatch of the product You have ordered. If we have to cancel the order after we have processed the payment, the said amount will be reversed to Your selected payment instrument. You agree to pay all fees and applicable taxes incurred by You or anyone using a User Account registered to You. We may revise the pricing for the goods and services offered through the Services at any time, and may also revise or cease to make available any product or service at any time.
Payments
All payments for any product or service purchased through the Platform shall be made by using the payment gateway linked with the Platform. By initiating the payment through any of the available modes, You hereby represent and warrant that You have the authority to use such payment mode and have sufficient funds to complete the transaction. By providing such details, You represent, warrant and covenant that: (i) You are legally authorised to provide such details; (ii) You are legally authorised to make payments using such details; and (iii) such action does not violate the terms and conditions applicable to Your use of such details, or applicable law.
You agree and acknowledge that we may use the services of a third-party payment gateway provider for the collection of fees, payments and the purchase price of products or services. You must provide the third-party payment provider with valid payment information (Visa, MasterCard, UPI, net-banking or other modes accepted by the payment provider). The third-party payment gateway provider may collect certain personal and financial information such as card details, name, address and phone number, and You have no objection to this data being collected, stored and processed, and You consent to sharing this data for such purposes.
You acknowledge and agree that we do not operate, own or control the payment gateway and only facilitate the third-party payment gateway for processing of payment. You agree and acknowledge that we shall not be liable or responsible for any activity or consequence due to misuse of any information that occurs as a result of the payment gateway provider's operations.
It is Your responsibility to promptly provide us with any contact or billing information changes or updates (including phone number and email address). Any billing or order-related discrepancy must be notified to us within fifteen (15) days of the payment. If it is not brought to our attention within such period, You agree to waive Your right to dispute such discrepancy.
Cancellation policy
Sakhi Wearable Device
You may cancel Your Sakhi Wearable Device order under the following conditions:
- Before dispatch: You may cancel Your order at no extra cost within twenty-four (24) hours of placing the order, provided the product has not yet been dispatched. We will issue a full refund of the amount paid by You.
- After dispatch: Once the Sakhi Wearable Device has been dispatched, the order cannot be cancelled. If You refuse delivery, the order will be treated as a post-delivery return and is subject to the Return Policy below.
You can track Your order status under the 'Orders' section of Your profile on the Platform, or via the link sent to Your mobile number. You can initiate a cancellation request by reaching out to support@helpsakhi.com. Upon successful pre-dispatch cancellation, we process the refund within seven (7) to ten (10) business days. Any amount due will be credited to the original payment mode used for the transaction.
Subscriptions
Cancellation of Subscriptions is governed by the 'Subscription terms' section above, and entitles You to a pro-rata refund for the unused portion of Your current billing period.
Return policy
Sakhi Wearable Device
The Sakhi Wearable Device is a personal-use safety product that is worn on the body. For reasons of hygiene and the personal nature of the product, we do not accept returns of the Sakhi Wearable Device after delivery, and no refund will be issued post-delivery, except where the product is found to be defective in accordance with the Warranty section below.
If the product or package delivered has any physical damage, is missing parts, differs from what was ordered based on the product description on our Platform, or is defective on arrival, You must contact us within forty-eight (48) hours from the time of delivery at support@helpsakhi.com. On verification of such report, we may, at our discretion and in accordance with applicable law, repair, replace or refund the product. Where We accept such a return:
- The product must be kept in its original condition;
- You must provide the original invoice or sale receipt;
- The original outer box, packaging and accessories (in manufacturer packaging) must be returned with the product;
- Any bundled or free items received with the product must be returned as well.
Returns will not be accepted if:
- The product has been used (beyond the limited check required to identify the defect), the serial number has been tampered with, or the product has been altered in any other way;
- You fail to report the issue within the forty-eight (48) hour window stated above;
- The product is returned without its original packaging, accessories or bundled items;
- The product was personalised, customised or laser-engraved at Your request.
For products that develop a defect after the 48 (forty-eight) hour damage-reporting window, please refer to the Warranty section below.
Refund policy
Pre-dispatch cancellations
On a valid pre-dispatch cancellation of a Sakhi Wearable Device order, we process the refund within seven (7) to ten (10) business days. The amount is credited to the original payment mode used for the transaction.
Post-delivery returns
As stated in the Return Policy above, the Sakhi Wearable Device is not eligible for return or refund after delivery, except where the product is found to be defective and the issue is reported within the prescribed window. In such cases, we will, at our discretion and in accordance with applicable law, repair, replace or refund the product.
Subscription cancellations
On cancellation of a Subscription, we will refund the pro-rata amount for the unused portion of Your current billing period, calculated from the date Your cancellation request is received and processed. The refund is credited to the original payment mode within seven (7) to ten (10) business days.
Warranty
Warranty coverage
The Sakhi Wearable Device is covered by a warranty for a period of 12 (twelve) months from the date of delivery. The warranty covers defects in materials or functionality arising under normal use of the product. If a qualifying defect is found during the warranty period, We will provide repair or replacement services within a reasonable time, free of charge.
Warranty exclusions
This warranty does not cover:
- Damage caused by accident, abuse, misuse or negligence;
- Damage caused by unauthorised repair, modification, alteration or opening of the device;
- Battery exhaustion or natural battery degradation over time;
- Water leakage, liquid ingress or damage caused by exposure beyond the product's stated water and dust ingress rating;
- Damage caused by natural disasters, including floods, fires, lightning or earthquakes;
- Damage caused by connecting the product to any device or accessory not suitable for use with it;
- Normal wear and tear, including cosmetic damage that does not affect the functioning of the device.
Warranty claim procedure
If You need to make a warranty claim, please follow these steps:
- Contact Sakhi at support@helpsakhi.com with Your order details, a description of the issue and, where possible, photographs or a short video of the defect.
- On request, return the product to the address We provide, in safe and adequate packaging.
- We will inspect the product. On verification of a qualifying defect, We will, at Our discretion, repair or replace the product.
Limitation of liability under this warranty
Our liability under this warranty is limited to the repair or replacement of the product as described above. We are not liable for any incidental or consequential loss or damage, including loss of use, loss of profits or loss of data, except to the extent such liability cannot be excluded under applicable law, including the Consumer Protection Act, 2019. This warranty is valid only in India.
Shipping
Packaging
Our products are packaged using quality materials and techniques to support safe delivery of the product to Your address.
Shipments
For orders with multiple products, delivery may be made in multiple shipments. Delivery typically takes up to seven (7) business days from the date of order placement, depending on the delivery location.
Delivery timelines
Delivery timelines are estimates and are not guaranteed. Risk in the Sakhi Wearable Device passes to You on delivery. Your order may be cancelled due to unavailability of the ordered product, or at Your instructions if the product cannot be delivered. The Company shall not be liable for any damage or loss, either direct or indirect, owing to such cancellation or delay.
Tracking
Upon dispatch, You will receive updates with the order number and tracking details on Your preferred communication channels, such as SMS, email or WhatsApp. You can track Your order status under the 'Orders' section of Your profile on our Platform, or via the link sent to Your mobile number.
Changes to these Terms
As we add new features and functionality to the Platform, we may need to update or revise these Terms. We therefore reserve the right to update or revise these Terms at any time and without prior notice, by posting the revised version on the Platform. These changes will be effective as of the date we post the revised version on the Platform. Your use of the Platform following any such change constitutes Your consent to the terms of the revised Terms. For this reason, it is important to review these Terms regularly. You may access the current version of these Terms at any time on our Website or App.
Your feedback and submissions
We welcome Your comments, feedback, suggestions, submissions, posts, ideas and other communications regarding the Platform and the information and services we make available through the Platform (collectively, "Feedback"). The Feedback You provide to us through the Platform will be and remain our exclusive property. Your submission of Feedback will constitute an assignment to us of all worldwide rights, title and interest in Your Feedback, including all copyrights and other intellectual property rights in Your Feedback. We will be entitled to reduce to practice, exploit, make, use, copy, disclose, display or perform publicly, distribute, improve and modify any Feedback You submit for any purpose whatsoever, without restriction and without compensating You in any way. For this reason, we ask that You not send us any Feedback that You do not wish to assign to us.
Customer support and chat
Customer support, including any in-App chat or AI-assistant feature, is provided to help You with Platform-related queries and general safety guidance. You shall not use abusive or derogatory language, and shall not post any objectionable information that is unlawful, threatening, defamatory or obscene, while using such functionality. In the event You use abusive language or post objectionable information, we reserve the right to suspend the support service and/or block Your access to and usage of the Platform, at any time with or without notice. Sakhi and its representatives are not responsible for any delay caused in attending to, or replying to, any query via chat. We may store any communications with You for future reference, including for training, safety review and dispute resolution, and You may not have the right to access such information at any future date except as provided in our Privacy Policy or applicable law.
Where Your interaction is with an AI-assisted feature, You acknowledge that responses may be inaccurate or incomplete, and must not be relied upon as professional, legal, medical or emergency advice.
Termination
We may terminate Your access or use of the Platform at any time if:
- You have violated these Terms in any manner whatsoever;
- We determine, in our sole discretion, that You have used the Platform in a prohibited manner or otherwise do not comply with any of the provisions of these Terms;
- You have violated any applicable law or any governmental or regulatory authority requires us to do so;
- Information provided by You on the App or Website is found to be incorrect, untrue or misleading;
- You have violated any of our guidelines or policies;
- On receipt of regular complaints or adverse feedback against You. We reserve the right to determine what shall constitute regular complaints or adverse feedback; or
- You are found to be involved in activities that may have an adverse impact on the reputation of Sakhi, or that may put us in a bad light.
On termination, Your right to use the Services ends. Provisions of these Terms which by their nature should survive termination, including provisions on Ownership, Disclaimers, Limitation of Liability, Indemnity, Governing Law and Dispute Resolution, and any payment obligations accrued prior to termination, shall continue to apply. Data handling on termination is described in our Privacy Policy.
Force majeure
Sakhi shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of Sakhi, including without limitation any failure to perform hereunder due to unforeseen circumstances such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, storms, pandemics, accidents, strikes, internet interruption, denial-of-service attack, hacking, or shortages of transportation facilities, fuel, energy, labour or materials.
Modification and discontinuation
We reserve the right to discontinue or modify the Platform, or any part of it, at any time without prior notice.
Linking
You may link to our Website, provided You do so in a way that is legal and fair. You acknowledge and agree that You will not link the Website, App or Services to any site containing any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information, or that violates any intellectual property, proprietary, privacy or publicity right. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by You. Our Website, App or Services must not be framed on any other site, nor may You create a link to any part of our Platform other than the home page of our Website.
You further agree that You shall not connect, link, integrate, feed or otherwise make the Platform, the Content, the Services or the Safety Intelligence available to, or for the benefit of, any third-party large language model, generative AI system or other artificial-intelligence service (including, without limitation, OpenAI ChatGPT, Anthropic Claude, Google Gemini, Meta Llama, Microsoft Copilot, Perplexity, or any similar service), whether for inference, training, fine-tuning, embedding, retrieval-augmented generation, or any other purpose, without our prior express written permission.
Any violation of this section may, in our sole discretion, result in immediate termination of Your use of and access to the Platform and Services. Linked sites are in no way under the control of Sakhi and we shall not be responsible for the contents of any linked site, including any link contained in the linked site or any changes or updates to the linked site. The Website and App provide outbound links only as a convenience, and the inclusion of any link does not imply endorsement by us or any association with its operators or owners.
Waiver
Our failure at any time to require performance of any provision of these Terms or to exercise any right provided for herein or under law shall not be deemed a waiver of such provision or such right. All waivers must be in writing. Unless the written waiver contains an express statement to the contrary, no waiver by any of us of any breach of any provision of these Terms, or of any right provided for herein, shall be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right under these Terms.
Severability
If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions of these Terms shall remain in full force and effect.
Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India.
We aim to provide a smooth experience for our users and encourage You to reach out to our support team at support@helpsakhi.com to resolve any concern. In the event of any dispute, claim or disagreement arising out of or relating to these Terms, the parties shall first attempt to resolve it amicably through mutual discussion within thirty (30) days of written notice.
If the dispute is not resolved within this period, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. If the parties are unable to agree, the arbitrator shall be appointed in accordance with the said Act. The seat and venue of arbitration shall be Chandigarh, India. The arbitration proceedings shall be conducted in English.
Nothing in this section shall restrict Your rights as a consumer under the Consumer Protection Act, 2019, including Your right to approach the appropriate consumer disputes redressal forum.

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023, complaints regarding the Platform, any content on it, or the processing of personal data may be addressed to our Grievance Officer:

Entire agreement
These Terms, as supplemented or amended by any applicable Privacy Notices and any other policy referenced herein, contain the entire understanding and agreement between You and us with respect to the Platform and supersede all previous communications, negotiations and agreements, whether oral, written or electronic, between You and us with respect thereto.
